BY DOWNLOADING, INSTALLING, OR USING Prompt, YOU CONFIRM YOU HAVE READ AND ACCEPTED THIS AGREEMENT IN FULL.
1. Agreement Overview
This End User Licence Agreement (“Agreement”) is a legal agreement between Fourth Hill Digital (“Licensor”, “we”, “us”, or “our”) and you (“User”, “you”) governing your use of the software application known as Prompt (the “Software”). By downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not install or use the Software.
2. Licence Grant
Subject to this Agreement, the Licensor grants you a non-exclusive, non-transferable, revocable licence to:
- install and use one copy of the Software on a computer with a valid, licensed copy of Autodesk® Revit®; and
- use the Software solely for your own internal design, documentation, or educational purposes.
All rights not expressly granted to you are reserved by the Licensor.
3. Autodesk Relationship
Prompt is not an Autodesk product and is developed independently by Fourth Hill Digital. Autodesk Inc. does not sponsor, endorse, or assume any responsibility for the Software. You are responsible for complying with Autodesk’s own licence terms and maintaining a valid Autodesk licence.
4. Ownership and Intellectual Property
The Software is licensed, not sold. All intellectual property rights in and to the Software, including all code, design, interfaces, and documentation, are and shall remain the sole property of the Licensor. You may not claim ownership, authorship, or any proprietary right in the Software or derivative works, except where explicitly permitted under open-source licences identified within the Software documentation (if any).
5. Restrictions
You must not:
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where permitted by law;
- modify, adapt, translate, or create derivative works of the Software;
- rent, lease, sell, sublicense, distribute, or otherwise transfer the Software to any third party;
- use the Software to develop competing tools or products;
- remove, obscure, or alter any copyright, trademark, or proprietary notices; or
- use the Software in any way that violates applicable law or Autodesk’s own licence terms.
6. Updates and Maintenance
The Licensor may, at its discretion, make updates, enhancements, or fixes available. Nothing in this Agreement obligates the Licensor to provide technical support, maintenance, or future updates. Use of updated versions constitutes acceptance of the revised terms of this Agreement.
7. Data and Connectivity
Prompt may interact with Autodesk Revit data, parameters, or elements but does not transmit your model data externally. The Software may collect anonymous usage metrics or crash reports for the purpose of improving performance and stability. No personal or project-identifiable information is collected or stored.
8. Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided “as is” and “as available” without warranties of any kind, express or implied. The Licensor makes no warranty that:
- the Software will meet your requirements;
- the Software will operate without interruption or error; or
- defects will be corrected.
However, nothing in this Agreement limits your rights under the Australian Consumer Law (ACL). Where the ACL applies, and the Software is supplied for non-domestic use, our liability is limited, at our option, to replacement of the Software or refund of the amount paid (if any).
9. Limitation of Liability
To the fullest extent permitted by law:
- The Licensor, its directors, employees, and contractors are not liable for any indirect, incidental, special, or consequential loss or damage (including loss of data, profits, reputation, or project delays) arising out of or in connection with the Software.
- The Licensor’s total aggregate liability to you for all claims arising from or related to this Agreement shall not exceed the amount you paid (if any) for the Software in the twelve (12) months preceding the claim.
- You acknowledge that digital design tools may behave unpredictably, and that you assume all responsibility for verifying output and maintaining backups of your project files.
10. Indemnity
You agree to indemnify and hold harmless the Licensor, its directors, employees, and agents from and against any loss, liability, or expense (including reasonable legal costs) arising from:
- your breach of this Agreement;
- your violation of Autodesk’s terms or applicable law; or
- any claim arising from your misuse or redistribution of the Software.
This indemnity survives termination of this Agreement.
11. Termination
This Agreement remains in effect until terminated. It will automatically terminate if you breach any of its terms. Upon termination, you must immediately uninstall and delete all copies of the Software. Sections 4, 8, 9, 10, and 12 survive termination.
12. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of the State of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
13. Entire Agreement
This Agreement constitutes the entire agreement between you and the Licensor concerning the Software and supersedes any prior agreements or representations. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid.
